1. Introduction and Acceptance

AdsPostX, Inc dba MomentScience ("PerksWallet," "we," "us," or "our") provides an online platform and services enabling users to earn cashback rewards, access financial perks, and engage with promotional offers (the "Services"). By accessing, registering for, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (the "Terms"), our Privacy Policy, and Acceptable Usage Policy. If you do not agree, you must not use the Services.

These Terms form a legally binding agreement between you and PerksWallet. We may update these Terms at any time, with changes effective upon posting on our website or via email/in-app notice. Your continued use after such updates constitutes acceptance.

2. Eligibility

To use the Services, you must be a legal resident of the United States, at least 18 years old, and capable of forming a binding contract. You must qualify as a new participant for specific offers, meaning you have not previously engaged with the offer, related app, product, or service. Each offer may only be completed once per individual, household, device, and email address.

You agree to initiate offers solely through unique, one-time links provided by PerksWallet and to enable necessary tracking for progress monitoring. Employees, contractors, and immediate family members of PerksWallet or its affiliates are ineligible to participate in reward programs.

3. Account Registration

To access full Services, you must create an account by providing a valid email address and other required personal details. You agree to keep this information accurate and up-to-date. Upon registration, you consent to these Terms and related policies.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access.

4. Description of Services

The Services allow users to earn rewards (including cashback payouts) by completing verified promotional tasks or milestones, such as subscriptions, in-app achievements, or qualifying purchases. Rewards are distributed as digital gift cards or prepaid options through third-party partners like Tremendous—no direct cash transfers are supported.

Milestones must typically be achieved within 30 days, with possible extensions noted in offer details. Upon verification, you'll receive redemption instructions via email, valid for seven days. Failure to redeem in time results in forfeiture.

5. User Obligations

You agree to:

• Fulfill all specified milestones for offers accurately and in good faith.
• Enable tracking features and start activities via designated PerksWallet links.
• Monitor your email for notifications and securely handle redemption links.
• Report any taxes on earned rewards as required by law.
• Avoid any misuse of the Services or partner resources.

6. Prohibited Conduct

You may not:

• Abuse the Services, our team, or third-party platforms to complete milestones improperly.
• Violate our Acceptable Usage Policy or applicable laws.
• Share, reuse, or distribute offer links with others.
• Disable or circumvent tracking mechanisms post-initiation.
• Engage in fraudulent, deceptive, or negligent behavior that undermines the Services.

Violations may lead to immediate account suspension, reward forfeiture, and potential legal action.

7. Intellectual Property

All content on the PerksWallet platform, including offers, promotions, designs, and materials (collectively, "Content"), is owned by PerksWallet, its affiliates, or third-party providers. You receive a limited, non-exclusive, non-transferable license to access and use the Content solely for personal, non-commercial purposes in connection with the Services.

You may not copy, modify, distribute, or create derivative works from the Content without our express written permission.

8. Payments and Rewards

Rewards are earned only after milestone completion and our verification (typically within five business days). Payouts are issued via secure, auditable methods through partners. You must redeem within the specified timeframe; unredeemed or expired rewards cannot be reissued or replaced, except in cases of our proven error.

We disclose that we may receive compensation from partners, which supports reward funding but does not affect offer selection or presentation.

9. Disclaimers and Warranties

The Services and Content are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted access, error-free operation, or that the Services will meet your specific needs.

We make no representations about third-party offers or products; any issues must be resolved directly with those providers.

10. Limitation of Liability

To the maximum extent permitted by law, PerksWallet's total liability under these Terms shall not exceed the value of rewards earned by you in the preceding 12 months. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, data loss, or business interruption.

This limitation does not apply to liability for fraud, willful misconduct, or obligations that cannot be disclaimed under law.

11. Indemnification

You agree to defend, indemnify, and hold harmless PerksWallet, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, misuse of the Services, or violation of third-party rights—except where caused by our gross negligence or unlawful conduct.

12. Termination

We may suspend or terminate your account and access to the Services at any time, with or without notice, for violations of these Terms or our policies. Upon termination, all accrued but unredeemed rewards may be forfeited. You may also terminate your account by contacting us, but outstanding obligations remain.

Sections intended to survive termination (e.g., IP rights, liability limits, indemnification) will continue to apply.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles. Any disputes must first be submitted to us via support within 30 days of arising.

Unresolved disputes shall be settled exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Travis County, Texas (or your county if closer). You and PerksWallet waive the right to jury trials, class actions, or representative proceedings. We will cover AAA administrative fees; you pay initial filing fees unless your claim is under $75,000 or deemed frivolous.

You may opt out of arbitration by notifying us in writing within 30 days of registration. Small claims court actions remain available if eligible.

14. Data Practices

We collect and process personal information in accordance with our Privacy Policy and applicable laws (e.g., CCPA, GDPR). You have rights to access, correct, delete, or opt out of certain data uses—exercise these via our support channels.

By registering for or using the Services, you consent to receive promotional and marketing emails from PerksWallet at the email address you provide. Transactional emails relating to your account and rewards are required to deliver the Services. You may unsubscribe from marketing emails at any time using the unsubscribe link included in every such email, and we will honor opt-out requests promptly. You also consent to optional promotional text messages (TCPA-compliant); reply "STOP" to opt out. Message and data rates may apply.

15. General Provisions

These Terms constitute the entire agreement between you and PerksWallet. No waivers are implied. If any provision is invalid, the remainder remains enforceable. We are not responsible for third-party content or links.
